Directors and responsibilities

Chris Phillips, Non Executive Chairman

As well as non Executive Chairman of Your Space plc Chris is also Chairman of Deutsche European Real Estate Plc whose shares are listed on the Frankfurt market, non-executive Chairman of Marchpole Holdings Plc, London & Newcastle Plc and Wyndham York Plc. He is also non-executive director of Places for People.

Chris is a member of the remuneration committee



Shaun Mealey, Chief Executive Director

Shaun joined in January 2005. Previously, Shaun owned and operated a successful property development company, various facilities management companies and was also involved in small company venture capital investments. He is responsible for leading the development of the Group, formulating, determining & implementing the Board's strategy for delivering profitability and shareholder value as well as the supervision of the development team.

Shaun is a member of the remuneration committee.



Seamus Millar, Executive Finance Director


Seamus 'Jim' Millar is a graduate of economics and an associate member of the chartered institute of management accountants. He has held a variety of positions in diverse businesses including the chemical, manufacturing and engineering sectors.  He has worked within all types of corporate structures, ranging from small family run businesses to public companies. 
 
Jim's role revolves around finance and information. He works closely with Shaun and Steve on planning and strategy matters, his responsibilities extend to providing the broader management team with regular and quality information to enable them to make informed and timely decisions.
 
In addition to his operational duties he is responsible to ensure good corporate governance and compliance with all relevant legislation, he is a member of the Audit committee.

Seamus is a member of the audit committee



Steve Turton, Executive Director

Steve joined the board in January 2006 as Executive Director. Previously, Steve has worked as a Senior Corporate Property Finance manager for The Royal Bank Of Scotland. He is responsible for property acquisitions, corporate real estate matters as well as the day to day operations of the business, corporate finance requirements and public affairs for the Group.



Laurence Davis, Non Executive Director

Laurence has been active in the property sector for over 25 years. Previously he was managing director of Bernard Sunley Plc. He founded the Conduit Group in 1997 as a major developer and investor in commercial real estate both in the UK and Europe.

Laurence is chairman of the remuneration committee and a member of the audit committee.



Ray Harris Non, Executive Director

Ray qualified as a Chartered Accountant in 1961 and operates as a business and tax consultant with particular reference to high net worth clients. He is also director of a listed company, two Aim listed companies, one Plus markets listed company and one Frankfurt listed company.

Ray is Chairman of the audit committee.

 

The following committees deal with specific aspects of the group's affairs:

Remuneration Committee

The Remuneration Committee, comprising of Laurence Davis, Christopher Phillips and Shaun Mealey, is responsible for making recommendations to the Board, within agreed terms of reference, on the group's framework of executive remuneration and its cost.  The Committee determines the contract terms, remuneration and other benefits for the executive directors, including performance related bonus schemes, pension rights and compensation payments.  The Board itself determines the remuneration of the non-executive directors.

Audit Committee

The Audit Committee, comprimising of Raymond Harris, Laurence Davis and Seamus Millar, provide a forum for reporting by the group's external auditors.  The Committee is responsible for reviewing a wide range of matters, including half-year and annual results before their submission to the Board, and for monitoring the controls that are in force to ensure the integrity of information reported to shareholders.  The Committee advises the Board on the appointment of external auditors and on their remuneration for both audit and non-audit work, and discusses the nature, scope and results of the audit with the external auditors.  The Committee keeps under review the cost effectiveness and the independence and objectivity of the external auditors.
